Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") form a binding agreement between you and EvriLend, a service of Lendicity LLC ("EvriLend," "we," "us," or "our"), and govern your access to and use of evrilend.com and any related pages, tools, content, emails, and services we provide (collectively, the "Services"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy, Electronic Consent, and Disclosures. If you do not agree, do not use the Services.

2. What EvriLend is (and what it isn't)

EvriLend operates a lender connection service at evrilend.com. We help U.S. people connect with a network of third-party lending partners based on information you provide. EvriLend is not a bank, lender, broker, credit-repair organization, debt collector, financial advisor, attorney, or accountant. We do not make credit decisions, originate loans, fund loans, set rates, or determine the terms of any offer. All credit decisions and loan terms are made and offered solely by the lending partner.

4. The loan-matching process

When you submit a loan request, you authorize EvriLend to:

Depending on your information and the partners available at that moment, you may be forwarded to a lending partner's own website to continue there, or told that we could not match you. Submitting a request is not an application for credit and does not guarantee that any partner will make you an offer.

Anything a partner presents to you is an estimate only until it is confirmed in that partner's loan documents. It is not a commitment to lend, a loan approval, or a guarantee of any specific rate, APR, term, fee, or amount. If you choose to proceed with a lender, that lender may run a hard credit inquiry, request additional information, and apply its own underwriting standards. Final loan terms - including APR, fees, monthly payment, term length, and amount funded - are set solely by the lender in its loan documents.

5. Third-party lenders and services

The Services include offers, links, and content from third-party lenders, non-lending debt solutions providers, and other service providers. EvriLend does not endorse, control, or guarantee any third party or their products, websites, content, fees, or practices. Your interactions with any third party - including the application, underwriting, funding, servicing, collection, and dispute of any loan, or any debt relief, consolidation, counseling, or settlement service - are solely between you and that party, and are governed by that party's own terms, privacy policy, and agreement. Read them carefully before you accept an offer or service.

EvriLend's lending partners may include state-licensed lenders as well as tribal lenders - lenders owned by or affiliated with a federally recognized Native American tribe - who operate under tribal law rather than state law. Rates, fees, terms, and consumer protections offered by tribal lenders may differ from those offered by state-licensed lenders, and state usury caps or other state-law protections may not apply. You are never obligated to accept any offer. Review each lender's disclosures carefully before signing a loan agreement, and contact the lender directly with any questions about who they are regulated by.

Where you indicate that you have unsecured debt, we may also introduce you to non-lending debt solutions providers, such as debt consolidation, credit counseling, or debt settlement services. These providers are independent third parties and do not make loans. Their services, fees, and consumer protections are governed by their own terms and applicable law, and may differ from those of lending partners. You are not obligated to use any non-lending debt solution.

EvriLend may receive compensation from lending partners and non-lending debt solutions providers when you are matched with them, when your information is transferred to them, or when you take out a loan or sign up for a service. This compensation may influence which offers or providers appear and how they are ordered, but it does not change the rate, APR, fees, or other terms a lender presents to you. 6. No professional advice

The content on the Services - including articles, calculators, comparisons, illustrative examples, and editorial commentary - is provided for general informational purposes only and is not financial, legal, tax, investment, accounting, or credit-repair advice. EvriLend is not a fiduciary. You should consult a qualified professional before making decisions about borrowing, refinancing, debt consolidation, or any other financial matter. Reliance on any information on the Services is at your own risk.

7. Communications and consent to contact

Email from EvriLend. By providing your email address or submitting a loan request, you consent to receive service emails and marketing emails from EvriLend. Service emails include account notifications, request updates, and transactional messages related to your use of the Services. Marketing emails include promotional offers, newsletters, and other communications about products, services, and partner offers. You can unsubscribe from marketing emails at any time by clicking the unsubscribe link in any marketing email or by visiting our unsubscribe page. Unsubscribing from marketing emails will not affect your receipt of service emails. EvriLend does not place telephone calls to you and does not send you text messages.

Calls and texts from lending partners. When you give telephone contact consent on our forms, you are consenting to be contacted by the lending partners and their marketing partners we share your request with, by telephone, text/SMS message, and prerecorded or autodialed calls at the phone number you provided, even if your number is on any federal, state, or internal do-not-call list. EvriLend collects and passes on that consent record on their behalf; it is those partners, not EvriLend, that contact you. Standard message and data rates may apply. Consent is not a condition of any purchase or service, or of receiving any loan offer. You can ask EvriLend to stop sharing your information with additional partners as described in our Privacy Policy; to stop calls or texts from a partner you have already been connected with, contact that partner directly.

Text message (SMS) terms. EvriLend does not operate its own SMS marketing program. Any recurring text messages you receive are sent by the lending partners and marketing partners you consented to be contacted by, and message frequency varies. Message and data rates may apply. Reply STOP to any message to stop messages from that sender and HELP for help - STOP and HELP are handled by the party that sent the message, and opting out with one partner does not opt you out of messages from another. Carriers are not liable for delayed or undelivered messages. To have EvriLend stop sharing your details with further partners, use our Do Not Sell or Share page or contact us. 8. Your account and information

You are responsible for maintaining the confidentiality of any credentials you use to access the Services, and for all activity that occurs under them. Notify us promptly via our contact form if you suspect unauthorized access. You represent that all information you submit is your own (or that you are authorized to submit it on behalf of another person), is accurate and complete, and is not submitted for any fraudulent purpose.

The Services, including the EvriLend name and logo, page designs, text, graphics, software, and editorial content, are owned by EvriLend or its licensors and are protected by U.S. and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. All other rights are reserved. Lender names, logos, and trademarks displayed on the Services belong to their respective owners and are used to identify those lenders.

11. Feedback

If you send us feedback, suggestions, or ideas about the Services, you grant EvriLend a worldwide, perpetual, irrevocable, royalty-free license to use them for any purpose without compensation or attribution.

12. Disclaimer of warranties

THE SERVICES, INCLUDING ALL CONTENT, OFFERS, TOOLS, AND MATERIALS, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EVRILEND DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT OFFERS DISPLAYED ARE ACCURATE, CURRENT, OR AVAILABLE; OR THAT ANY LENDER WILL APPROVE YOU OR EXTEND ANY PARTICULAR TERM.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EVRILEND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR ANY LOAN OFFER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless EvriLend and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Services, (b) information you submit through the Services, (c) your violation of these Terms or any applicable law, or (d) your dealings with any lender or third party introduced through the Services.

15. Dispute resolution; binding arbitration; class-action waiver

Please read this section carefully - it affects your legal rights. You and EvriLend agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and not in court, except that either party may bring an individual action in small-claims court. The arbitration will take place in the U.S. county where you reside or another mutually agreed location, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver: You and EvriLend agree that each may bring claims against the other only in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Opt out: You may opt out of this arbitration agreement by contacting us within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your full name and mailing address. If you opt out, the remainder of these Terms still applies.

16. Governing law and venue

These Terms and any dispute between you and EvriLend are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, and the Federal Arbitration Act governs the interpretation and enforcement of Section 15. Subject to Section 15, the state and federal courts located in Delaware have exclusive jurisdiction over any claim not subject to arbitration.

17. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, including if we believe you have violated these Terms, submitted inaccurate information, or engaged in fraud or abuse. You may stop using the Services at any time. Sections that by their nature should survive termination - including 5, 6, 9–16, and 18 - will survive.

18. Changes to the Services or these Terms

We may modify, suspend, or discontinue all or part of the Services at any time without notice. We may also update these Terms from time to time. When we do, we will post the new version here and update the "Last updated" date above. Material changes will take effect when posted; your continued use of the Services after that date constitutes acceptance of the updated Terms.

19. Miscellaneous

These Terms, together with our Privacy Policy, Electronic Consent, and Disclosures, are the entire agreement between you and EvriLend regarding the Services. If any provision is found unenforceable, the rest will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or in connection with a corporate transaction. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
